Terms of Service
These Terms of Service describe the general framework under which Missing Edge LLP provides software development, SaaS systems, automation solutions, digital tools, event platforms, and related technology services.
1. Nature of Services
Missing Edge LLP provides customized, requirement-driven technology services, which may include software development, deployment, dashboards, automations, integrations, digital products, event systems, and consulting.
2. Basis of Engagement
Engagements may arise through meetings, calls, emails, messages, proposals, invoices, shared trackers, demonstrations, approvals, reviews, usage, or other commercial communications exchanged between the client and Missing Edge LLP.
3. Iterative Development Model
Software development is iterative by nature. Deliverables may be created, refined, expanded, restructured, integrated, or deployed in stages or modules, depending on project requirements, feasibility, timelines, and commercial understanding.
4. Acceptance of Work
Any use, testing, review, demonstration, deployment, operational reliance, continued feedback, feature request, or continued engagement with a delivered system, module, or service may constitute acceptance of the work to the extent delivered.
5. Payment Obligations
All development work, implementation effort, consulting work, and deliverables created by Missing Edge LLP are billable unless expressly agreed otherwise in writing.
Delay, absence, or non-finalization of a separate purchase order, work order, or formal agreement shall not by itself invalidate payment obligations for work actually requested, performed, delivered, reviewed, or used.
6. Client Responsibilities
- Providing accurate requirements and timely clarifications;
- Reviewing outputs and sharing feedback within reasonable time;
- Providing approvals, dependencies, access, and operational inputs where needed;
- Ensuring lawful and appropriate use of delivered systems.
7. Scope Changes and Additional Work
New features, extra modules, major revisions, integrations, deployment changes, support beyond agreed scope, or any additional work beyond the initial commercial understanding may be separately billable.
8. Timelines
Timelines are estimates unless expressly guaranteed in writing. Delivery timelines may change due to evolving requirements, delayed feedback, third-party constraints, dependency issues, infrastructure issues, or scope variation.
9. Intellectual Property
Unless otherwise agreed in writing, pre-existing know-how, reusable components, methodologies, templates, utilities, and internal development frameworks of Missing Edge LLP remain its property.
10. Limitation of Liability
Missing Edge LLP shall not be liable for indirect losses, operational decisions, missed opportunities, or outcomes arising from client-side decisions, non-use, misuse, delayed implementation, third-party failures, or changed business conditions.
11. Governing Commercial Understanding
For each engagement, the overall commercial understanding may be evidenced by communications, invoices, payment history, requirement discussions, shared documents, review cycles, usage conduct, and other contemporaneous business records.
